Legal Manager

Position Summary

Consistent with the vision and values of Ketchum & Walton Co. Co., the Legal Manager will ensure Ketchum & Walton Co.’s interests are protected within its contractual relationships. Responsible for creating, analyzing, processing, and recording various construction contract administration documents. May act as liaison between K&W, external legal advisors, and subcontractors providing information or documents as needed.

  • Proficiency with MS Office Suite.

Preferred skills:

  • JD or Bachelor’s degree in legal field with extensive experience.
  • Familiarity with legal requirements to maintain insurability of contracts and minimize contract risks.
  • Construction Industry related experience.

Key Responsibilities:

  • Work with Executive Leadership Team to develop and implement policies which reduce business risks and liabilities.
  • Develop, implement, and manage legal policies, procedures, and documents.
  • Research and analyze legal issues and advise management on the legal implications of their decisions.
  • Draft, review, and negotiate contracts, agreements, and other legal documents.
  • Provide legal advice and guidance to executive leadership on all legal issues.
  • Monitor changes in laws and regulations and ensure compliance with applicable laws and regulations.
  • Develop and maintain strong relationships with external legal counsel and other legal advisors.
  • Oversee regulatory and compliance matters.
  • Maintain contract and terms templates and adjust language as needed
  • Review client’s proprietary forms of contract (MSA, NDA, ) and identify issues for negotiation; manage as necessary
  • Prepare contracts for implementation
  • Record, track, and report on proposal and contract status through use of contract software
  • Review, verify accuracy, and resolve discrepancies in subcontract agreements received from various contractors in various states, as well as identifying potential risks
  • Share and clarify contract processes, conditions and details with sales and project management team
  • Review project specific insurance requirements and generate requested insurance certificate
  • Register, compile, and submit all required OCIP / CCIP paperwork
  • Maintain files of proposals and signed agreements
  • Record preliminary notices to protect lien rights as appropriate
  • Review other contracts as requested
  • Work with executive team to coordinate in-house training on risk management and professional liability topics (and other business-related topics as may be approved)

Physical Requirements:

This position will be performed in an office environment and will require the incumbent to sit and stand at a desk, communicate in person, virtually, and by telephone, and frequently operate standard office equipment such as telephone, computers, & printers. May need to lift 10-15 lbs, occasionally.

  • This position may require some travel; therefore, the candidate must have a valid driver’s license and reliable transportation
  • FLSA STATUS: Full-time, exempt employee
  • LOCATION: Flexible (One of K&W Office Locations)
  • TRAVEL: As needed; less than 15%
  • REPORTS TO: Vice President of Operations
  • DIRECT REPORTS: n/a (for now)
